Terms of Service

1. Who we are
Vastura Digital is a trade name and business unit of Vastura Ltd, an Alberta-incorporated corporation ("Vastura", "we", "us"). We operate the catalogue at vasturadigital.ca and provide subscription software-as-a-service ("Services") that subscribers ("you", "your", "Customer") use to run their own business operations.
2. Acceptance
By creating an account, clicking a "Subscribe", "Start", or equivalent button, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. Authority: you represent that you are at least 18 years of age and authorized to bind the entity you represent.
3. The Services
The Services include the products listed in our catalogue at /pages/catalogue, currently: Conductor (AI orchestrator), Ledger (multi-entity accounting), Keystone (ITSM), Launch Pad (ecommerce ops), Image Pipeline, Concierge, Pilot, and B2B Toolkit. Each product is delivered as a hosted multi-tenant SaaS surface. Specific capabilities, limits, and seat / usage entitlements are described on each product page and in the Stripe Checkout receipt at signup.
4. Subscriptions, billing & auto-renewal
- Billing cycle: Subscriptions bill monthly in advance via Stripe unless otherwise specified at checkout.
- Auto-renewal: Subscriptions renew automatically at the end of each billing cycle at the then-current price until cancelled. We will email you a renewal reminder before any price increase exceeds 10%.
- Taxes: Prices are exclusive of applicable GST/HST/PST and any other taxes, which we add at checkout where required.
- Currency: Prices are in Canadian dollars (CAD) unless otherwise specified.
- Failed payments: If a payment fails, Stripe will retry on a standard schedule. Continued failure may suspend or terminate the Services after notice.
5. Term & termination
Either party may terminate the Services at any time by cancelling from the subscriber dashboard or by emailing info@vastura.ca. Cancellation takes effect at the end of the current billing cycle (no proration). We may suspend or terminate the Services immediately for material breach of these Terms, including the Acceptable Use Policy.
6. Cancellation, refunds & service credit
See our Refund + Chargeback Policy. In particular: monthly subscriptions are non-refundable for the current billing cycle but cancellation prevents future charges. Where Vastura delays delivery of a contracted feature, service credits are governed by the Refund Policy.
7. Customer data & privacy
We process personal information under PIPEDA (Personal Information Protection and Electronic Documents Act). Full details are in our Privacy Policy, including our sub-processor list. Customer Content (the data you upload, ingest, or generate via the Services) is owned by you and processed by us only to provide the Services or as required by law.
8. Acceptable use
You agree to our Acceptable Use Policy, including restrictions on resale (without Platform / White-label tier), reverse-engineering, abusing AI quotas, transmitting unlawful content, and interfering with other tenants.
9. Confidentiality
Each party will protect the other's non-public information disclosed under these Terms using at least the same care it uses for its own confidential information (and no less than reasonable care). Customer Content is treated as Customer's confidential information.
10. Intellectual property
Vastura retains all rights, title, and interest in the Services, including software, designs, trademarks, and documentation. You retain all rights in your Customer Content. We grant you a non-exclusive, non-transferable, revocable licence to use the Services for the term of your subscription.
11. Warranties & disclaimers
We warrant that we will provide the Services with reasonable care and skill. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VASTURA'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNTS YOU PAID TO VASTURA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL VASTURA BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the smallest amount permitted by law.
13. Indemnification
You will indemnify Vastura from third-party claims arising from your Customer Content or your breach of these Terms. We will indemnify you from third-party intellectual-property claims that the Services as delivered infringe a registered Canadian or US copyright, trademark, or patent (excluding claims arising from your modifications, combinations with non-Vastura products, or use outside the Services' documentation).
14. Service availability
We target commercially reasonable uptime for the Services. Specific SLA / uptime commitments and service credits apply only to tiers that explicitly include them in writing. We may perform scheduled maintenance with reasonable notice and emergency maintenance without notice where necessary to preserve security or stability.
15. Sub-processors & third-party services
To provide the Services we use the sub-processors listed in our Privacy Policy (currently Stripe, Cloudflare, Anthropic, Shopify, Resend, and Render). The Services may integrate with third-party services (e.g. your Shopify store). Your use of those services is governed by their own terms.
16. Governing law & disputes
These Terms are governed by the laws of the Province of Alberta, Canada and the federal laws of Canada applicable in Alberta, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of Alberta for any dispute. The UN Convention on Contracts for the International Sale of Goods does not apply.
17. Changes to these Terms
We may update these Terms. Material changes will be notified by email or via the subscriber dashboard at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance. The current version is always at this URL.
18. Miscellaneous
These Terms together with the Privacy Policy, Refund Policy, AUP, and any order forms or Stripe Checkout receipts are the entire agreement. If any provision is unenforceable, the rest remains in effect. Neither party may assign these Terms without the other's consent except in connection with a merger or sale of substantially all assets. No waiver of any breach is a waiver of any subsequent breach. These Terms do not create any agency, partnership, or joint venture.
